These Terms & Conditions (“Terms”) govern your access to and use of websites, applications, products, and services provided by Shohayok Technologies Ltd. (“Shohayok,” “we,” “our,” or “us”). By using our Services, you agree to these Terms. If you do not agree, please do not use the Services.

• Prices, features, and availability are subject to change. Taxes may apply.
• Recurring subscriptions renew automatically unless cancelled before the renewal date in your account or via the platform where you subscribed.
• Refunds follow the policy stated at the point of purchase or our separate refund policy, where applicable.

5. User Content & License

You retain ownership of Content you submit. By submitting Content, you grant Shohayok a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display such Content solely to operate and improve the Services. You represent that you have the necessary rights to upload the Content.

6. Acceptable Use

• No unlawful, harmful, fraudulent, or misleading activity.
• No infringement of intellectual property or privacy rights.
• No malware, spam, scraping without consent, or abuse of APIs.

7. Intellectual Property

The Services, including software, design, trademarks, and content provided by Shohayok, are owned by Shohayok or its licensors and are protected by law. Except as expressly permitted, you may not use Shohayok’s trademarks or materials without prior written consent.

The Services may contain links or integrations with third-party sites or providers. We are not responsible for their content, policies, or practices. Review their terms and privacy policies before using those services.

9. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share information.

10. Warranties & Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOHAYOK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that the Services will be uninterrupted, secure, or error-free.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOHAYOK AND ITS DIRECTORS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

12. Indemnification

You agree to indemnify and hold Shohayok harmless from any claims, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, your Content, or your breach of these Terms.

13. Termination

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms or applicable laws. Upon termination, your right to use the Services ceases immediately.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the People’s Republic of Bangladesh. Disputes shall be subject to the exclusive jurisdiction of the courts in Jamalpur, Bangladesh.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective Date” above. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
